Shannon E. Smith, 44, is a Managing Director of GCP and the Chief Operating Officer, Chief Financial Officer and Treasurer of American Land Lease, Inc.  Until the completion of its merger with an affiliate of GCP on March 16, 2009, American Land Lease was listed on the NYSE.  Mr. Smith joined American Land Lease in October 2000 as Chief Accounting Officer and was appointed as its Chief Financial Officer in February 2001. Mr. Smith also served as the Secretary of American Land Lease from July of 2002 until January of 2008. From March 1997 to October 2000, Mr. Smith served as Chief Financial Officer of Jemison-Demsey Holding Company, and other entities controlled by Jemison Investment Company. Mr. Smith began his career with Ernst & Whinney as a certified public accountant.  In addition, Mr. Smith currently serves as a Director and a member of the audit and compensation committees of Walter Investment Management Corp. (NYSE AMEX: WAC),  an asset manager, mortgage servicer and mortgage portfolio owner specializing in subprime, non-conforming and other credit-challenged mortgage assets.
